1. Introduction

Welcome to Unstaked. These Terms of Service ("Terms") govern your access to and use of the Unstaked platform ("Unstaked," "we," "our," or "us"), including our website at unstaked.com, our mobile applications, and any other websites, pages, features, or content we own or operate (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. Please read these Terms carefully before using our Services.

These Terms constitute a binding legal agreement between you and Unstaked. You must be at least 18 years old to use our Services. If you are accessing or using our Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Services Description

Unstaked is a platform that enables users to create, tokenize, and deploy AI agents. Our Services include:

• Creating customizable AI agents with specific behaviors, tones, and social media strategies
• Tokenizing AI agents through our $UNSD token system
• Deploying AI agents across major social platforms like Twitter, Telegram, and Discord
• Participating in token sales and trading on decentralized exchanges
• Accessing educational resources and community features

3. Account Registration and Security

3.1 Account Creation

To access certain features of our Services, you must create an account. During registration, you will be required to provide accurate, current, and complete information about yourself. You agree to update this information to keep it accurate, current, and complete.

3.2 Identity Verification

To comply with regulatory requirements, we may require you to undergo identity verification procedures, which may include providing government-issued identification, proof of address, and other personal information.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Create a strong password and keep it confidential
• Not share your account credentials with any third party
• Notify us immediately of any unauthorized use of your account or any other breach of security
• Ensure that you log out from your account at the end of each session when accessing our Services from a shared device

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with these Terms or if we suspect unauthorized or fraudulent use of your account.

4. $UNSD Tokens and Token Sale

4.1 Token Purchase

The purchase of $UNSD tokens is subject to these Terms and any additional terms that may be presented at the time of purchase. By purchasing $UNSD tokens, you acknowledge and agree that:

• Token purchases are final and non-refundable
• The value of $UNSD tokens may fluctuate and there is no guarantee of future value
• You are not purchasing $UNSD tokens for speculative investment purposes
• You will comply with all applicable laws and regulations regarding the purchase, holding, and use of $UNSD tokens

4.2 Token Functionality

$UNSD tokens are utility tokens designed to be used within the Unstaked ecosystem. Tokens may be used to:

• Power AI agents
• Access premium features
• Participate in platform governance
• Trade on decentralized exchanges

4.3 Token Allocation and Distribution

Token allocation and distribution will be conducted in accordance with our token sale documentation. We reserve the right to adjust the token allocation and distribution schedule as necessary.

4.4 Risks and Disclaimers

• Blockchain and cryptocurrency technologies are subject to regulatory uncertainty and potential governmental actions
• The cryptocurrency market is highly volatile and unpredictable
• Technical issues may affect the functionality of $UNSD tokens
• We do not guarantee any specific outcomes or returns from your participation in our token sale

5. User Conduct

5.1 Prohibited Activities

You agree not to:

• Use our Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying our Services
• Use our Services in connection with any unlawful, fraudulent, or deceptive activities
• Attempt to circumvent any content filtering techniques, security measures, or access controls that we employ
• Use any robot, spider, crawler, scraper, or other automated means to access our Services
• Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide our Services
• Use our Services to create AI agents that engage in harmful, illegal, or unethical activities
• Violate any applicable law, regulation, or third-party rights

5.2 Content Guidelines

If our Services allow you to create, upload, or share content, you agree not to create, upload, or share content that:

• Infringes on any third-party intellectual property rights
• Contains unlawful, defamatory, threatening, pornographic, abusive, or otherwise objectionable material
• Contains malicious code, such as viruses or malware
• Promotes illegal activities or self-harm
• Impersonates any person or entity or falsely states or misrepresents your affiliation with a person or entity

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Services, including all content, features, and functionality, are owned by Unstaked, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 License to Use Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes.

6.3 User Content

You retain all ownership rights in content you create, upload, or share through our Services ("User Content"). By creating, uploading, or sharing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display that User Content in connection with providing and promoting our Services.

7. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy, available at unstaked.com/privacy-policy, explains how we collect, use, and protect your personal information. By using our Services, you consent to our collection, use, and disclosure of information as described in our Privacy Policy.

8. Disclaimers and Limitations of Liability

8.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNSTAKED, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

8.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF UNSTAKED AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO UNSTAKED FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY OR (B) $100.

8.4 Exclusions

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. THEREFORE, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to defend, indemnify, and hold harmless Unstaked, its affiliates, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.

10.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration conducted by JAMS under its Comprehensive Arbitration Rules and Procedures. The arbitration shall take place in San Francisco, California, and shall be conducted in the English language. The decision of the arbitrator shall be final and binding.

10.3 Waiver of Class Actions

YOU AND UNSTAKED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

10.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction.

11. Termination

We may terminate or suspend your access to and use of the Services, at our sole discretion, at any time and without notice to you. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that, by their nature, should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, limitations of liability, indemnification, and dispute resolution.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Unstaked concerning the Services.

12.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or, if no such modification is possible, such provision shall be severed from these Terms. In either case, the validity, legality, and enforceability of the remaining provisions shall not be affected.

12.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Unstaked.

12.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.

12.5 Notices

We may provide notices to you by posting them on our website, sending them to an email address or physical address associated with your account, or by any other means reasonably designed to reach you. Notices provided by posting on our website will be effective upon posting, and notices provided by email or physical mail will be effective when sent.

13. Changes to These Terms

We may update these Terms from time to time at our sole discretion. If we make material changes, we will notify you by email, through our Services, or by other means. Your continued use of the Services after such notice constitutes your acceptance of the updated Terms.
